These Terms of Use (“Terms”) govern your access to and use of jainhotels.com (the “Site”), operated by Jain Management LLC (“Jain Hotels,” “we,” “us” or “our”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. No offer of securities; no advice
The Site is provided for general informational purposes only. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, fund interest or other investment, and nothing on the Site is investment, legal, tax or accounting advice. Any offering, if made, will be made only through definitive documents to qualified persons and in compliance with applicable law. Submitting an inquiry does not create any agreement, commitment, partnership, fiduciary or advisory relationship.
2. Information on the Site
We try to keep information on the Site accurate and current, but portfolio information, development status, figures and descriptions may change without notice, and they are provided “as is.” Statements about plans, projects in development or future activity are forward-looking, involve risks and uncertainties, and are not guarantees. Past activity is not indicative of future results.
3. Trademarks and third-party brands
“Jain Hotels” and our logo are our marks. Hotel brand names and logos shown on the Site, including those of Marriott, Hilton, IHG, Hyatt, Wyndham, Best Western, Extended Stay America and Motel 6, are trademarks of their respective owners. They are used solely to identify properties that we or our affiliates own, operate or are developing under franchise or license, and their use does not imply endorsement of the Site by those brands.
4. Intellectual property and permitted use
The Site and its content, including text, design, photographs and graphics, are owned by or licensed to us and are protected by intellectual-property laws. You may view and print pages for your own non-commercial reference. You may not copy, reproduce, modify, distribute, frame or create derivative works from the Site without our prior written consent.
5. Acceptable use
You agree not to: use the Site unlawfully or to submit false or misleading information; attempt to gain unauthorized access to the Site or its systems; interfere with the Site’s operation, including by introducing malware or overloading it; use automated means to scrape or harvest content or personal information; or impersonate any person or entity.
6. Your submissions
Do not submit confidential, proprietary or sensitive information through the Site. Information you submit is handled under our Privacy Notice. We are under no obligation to respond to, evaluate or act on any submission, and unsolicited ideas or proposals are received without any obligation of confidentiality or compensation, unless we agree otherwise in a signed writing.
7. Third-party websites
The Site links to websites operated by others, including hotel brand, apartment community and affiliated-company sites. We do not control and are not responsible for their content, availability or practices.
8. Disclaimer of warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, JAIN MANAGEMENT LLC, ITS AFFILIATES AND THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
10. Indemnification
You agree to indemnify and hold harmless Jain Management LLC and its affiliates from any claims, losses and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.
11. Governing law and venue
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Site or these Terms will be brought exclusively in the state or federal courts located in Tulsa County, Oklahoma, and you consent to their personal jurisdiction.
12. General
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. We may modify these Terms at any time by posting a revised version on this page; continued use of the Site after changes are posted constitutes acceptance. These Terms, together with our Privacy Notice, are the entire agreement between you and us regarding the Site.
